Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Advancelink platform, available at https://advancelink.net. Please read them carefully before creating an account or connecting a WhatsApp Business Account. They should be read together with our Privacy Policy, published at https://advancelink.net/privacy-policy, which forms part of these Terms.

1. Acceptance and the Parties

These Terms form a binding agreement between Advance Link for Design and Programming of Special Software, a company established in the State of Kuwait with its registered address at Alrawda, Block 3, Street 36, Building 48, State of Kuwait ("Advancelink", "we", "us", "our"), and the business entity that registers for an account and uses the platform ("Merchant", "you", "your").

By registering an account, connecting a WhatsApp Business Account, or otherwise using the platform, you confirm that you have read, understood and accepted these Terms and the Privacy Policy, and that the person accepting them has authority to bind the business entity they represent. If you do not accept these Terms, do not use the platform.

2. Description of the Service

Advancelink is a software-as-a-service platform that allows a Merchant to manage its own WhatsApp Business account through the official WhatsApp Business Platform (Meta Cloud API). The platform provides, depending on your subscription plan:

Features available to you depend on the plan you purchase and on the features enabled for your account at the time. We may add, change or withdraw features as described in Section 11.

Advancelink is an independent software provider. It is not Meta Platforms, Inc., is not affiliated with or endorsed by Meta, and does not resell WhatsApp messaging. Advancelink never creates WhatsApp Business Accounts on a Merchant's behalf. You connect a WhatsApp Business Account (WABA) that you already own in Meta Business Manager, either by supplying a Meta System User access token or by authorising the connection through Facebook OAuth.

3. Eligibility

The platform is offered for business use only. It is not intended for consumers or for personal, family or household purposes. To use the platform you must:

You are responsible for the accuracy of any statement you make about your authority over a connected WABA. We may request evidence of that authority and may suspend a connection where authority cannot be established.

4. Account Registration, Credentials and Agent Sub-Accounts

You must provide accurate registration details and keep them current. You are responsible for safeguarding your login credentials and for every action taken through your account.

Responsibility for the Meta credentials used by the platform (WABA ID, Phone Number ID, access token, app ID) is split as follows:

You must notify us at advancelink@advancelink.net without undue delay if you believe your account or credentials have been compromised.

You may create agent sub-accounts for members of your team. You remain fully responsible for every action taken through your account and through any agent sub-account you create, including messages sent, contacts imported and settings changed. You are responsible for deactivating agent accounts when a team member leaves, and for ensuring your agents comply with these Terms.

5. Security Measures and Incident Notification

We apply technical and organisational measures appropriate to the service, including:

No service can be guaranteed to be completely secure. If we become aware of a security incident affecting your account data or the data you process through the platform, we will notify you without undue delay at the contact address registered on your account, describing what we know about the incident and the steps taken in response.

6. WhatsApp and Meta Policy Obligations

Your use of WhatsApp through the platform is additionally governed by Meta's rules. You agree that you will, at all times:

Where the Meta Platform Terms, the Meta Developer Policies or any other Meta instrument require a term to be passed on to businesses that use our platform, that term applies to you directly as part of these Terms, and prevails over any conflicting provision here to the extent of the conflict.

Meta is an intended third-party beneficiary of the obligations in this Section 6 and in Section 7 and may enforce them directly against you. Where Meta requires it, we will suspend or terminate your access in accordance with Section 16.

Violations of Meta's policies can cause Meta to restrict, suspend, disable or ban your phone number, your WABA or your Business Manager, and can lower your messaging limits or template quality rating. These actions are taken by Meta, not by Advancelink. Advancelink has no control over them and cannot reverse them. Responsibility for the messages you send and for compliance with Meta's policies rests entirely with you.

8. Your Obligations Towards End Customers

The WhatsApp users you communicate with ("End Customers") do not contract with Advancelink, yet their messages, media and phone numbers are stored on our systems so that we can deliver the service to you. In respect of that data you act as the controller and we act as your processor, acting on your instructions. Accordingly you must:

Where you forward such a request, we will assist you and act on your documented instruction within 30 days of receiving it, and confirm in writing what was done. We do not respond directly to End Customers about a Merchant's data except where we are legally required to do so, in which case we will inform you unless prohibited by law.

9. Subscription Plans, Billing and Addons

Access is sold as subscription plans with defined limits, which may include contact limits and agent limits. Additional capacity may be purchased as addons, such as extra agent slots or extra phonebook contacts. Plan and addon prices are those shown at the time of purchase.

Subscriptions run for the period stated at purchase and expire at the end of that period unless renewed. When a plan expires or its limits are exhausted, the affected features stop working until the plan is renewed or the relevant addon is purchased.

Subscription and addon fees are charges for access to the Advancelink platform and for capacity within it. They are not payment for WhatsApp messages. Meta bills you separately for WhatsApp conversations under your own agreement with Meta; Advancelink does not resell, mark up or collect those charges, and plan limits are limits on your use of our software, not an allocation of Meta messaging.

Payments are processed by third-party payment processors, currently Stripe, PayPal, Razorpay and Paystack. Card and payment instrument details are handled by those processors and never touch Advancelink servers. Your use of a processor is also subject to that processor's own terms. You are responsible for any taxes, duties or bank charges applicable to your purchase.

11. Service Availability and Maintenance

We aim to keep the platform available and reliable, but we do not guarantee uninterrupted, error-free or continuously available service. The platform may be unavailable during planned maintenance, upgrades, or as a result of faults, capacity issues, network problems, or events outside our reasonable control. We may perform maintenance without prior notice where necessary to protect security or stability. We may also modify, add or remove features over time.

12. Dependency on Meta's WhatsApp Business Platform

The platform depends on the WhatsApp Business Platform (Meta Cloud API) operated by Meta. Meta may, at any time and without notice to us:

Any of these actions may reduce or interrupt the functionality available to you. Such actions are outside Advancelink's control, and Advancelink is not liable for their consequences. We will make reasonable efforts to adapt the platform to Meta's changes, but we cannot guarantee that a given feature will remain available.

13. Intellectual Property

The platform, including its software, source code, design, interfaces, documentation, trademarks and the Advancelink name and logo, is and remains the property of Advance Link for Design and Programming of Special Software and its licensors. Subject to these Terms and to payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the platform for your internal business purposes for the duration of your subscription. No other rights are granted.

You retain ownership of the content and data you upload or generate through the platform, including your contacts, message content, templates, flows and catalog data. You grant us a limited licence to host, process, transmit and display that content solely as necessary to operate and support the service for you. This is an intellectual-property licence only; our permitted use of data is separately and more narrowly restricted by Sections 14 and 15. WhatsApp, Facebook, Meta and related marks belong to their respective owners.

14. Data Protection and Privacy

Our Privacy Policy, published at https://advancelink.net/privacy-policy, is expressly incorporated into these Terms and forms part of them. It describes in full what personal data we collect, why, how long we keep it, who it is shared with, and what rights are available. On any question of personal data handling, the Privacy Policy controls; if it conflicts with these Terms on a data matter, the Privacy Policy prevails.

In summary, operating the platform for you involves the following categories of data:

For End Customer data you are the controller and we process it on your instructions, as set out in Section 8. For your own Merchant account and billing data we act as controller.

15. Restrictions on Our Use of Platform Data

In respect of all data obtained through the WhatsApp Business Platform and the Meta APIs, and all End Customer data stored on the platform ("Platform Data"), Advancelink commits that it:

Where the platform offers optional integrations with third-party AI providers, those run only on the Merchant's own configuration and instruction, use only that Merchant's data, and are described in the Privacy Policy.

16. Suspension, Termination and Deletion

You may stop using the platform at any time and may disconnect your WhatsApp connection from within the platform, which deletes the Meta credentials stored for your account. You may request deletion of your account and data by emailing advancelink@advancelink.net. Instructions are also published at https://advancelink.net/data-deletion.

We may suspend or terminate your access, in whole or in part, if you materially breach these Terms, if you violate Meta's WhatsApp policies or the Meta instruments listed in Section 6, if payment is not received when due, if your use threatens the security or stability of the platform, or if we are required to do so by law or by Meta.

Deletion works as follows:

The only data retained after deletion is invoices and payment records, which we must keep for tax and accounting purposes. We retain these for the period required by applicable Kuwaiti commercial and tax law, which we apply as five years from the end of the financial year in which the transaction occurred, and we do not use them for any other purpose. Records that we are legally ordered to preserve are retained for as long as that order applies.

On termination your right to use the platform ends immediately. If you need copies of records held in your account, request them at advancelink@advancelink.net before termination, and we will respond within 30 days.

17. Disclaimer of Warranties and Limitation of Liability

To the maximum extent permitted by applicable law, the platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the platform will meet your requirements, be uninterrupted, or that message delivery will occur. Message delivery ultimately depends on Meta, on carriers, and on the recipient's device and settings.

To the maximum extent permitted by applicable law, Advancelink shall not be liable for any indirect, incidental, special, consequential or punitive damages, nor for loss of profits, revenue, goodwill, business opportunity or data, arising out of or relating to your use of the platform, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms and the platform shall not exceed the total amount you actually paid to Advancelink for the platform in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded, and nothing in this Section limits our obligations under Sections 5, 14 and 15.

18. Indemnity

You agree to indemnify, defend and hold harmless Advance Link for Design and Programming of Special Software, its directors, employees and contractors from and against any claims, demands, proceedings, damages, losses, fines, penalties and reasonable legal costs arising out of or related to: (a) the messages and content you send or store through the platform; (b) your breach of these Terms or of any Meta or WhatsApp policy; (c) your failure to obtain valid opt-in consent from recipients; (d) contacts or data you imported without a lawful basis; (e) your failure to meet the End Customer obligations in Section 8; (f) actions taken through your account or by your agent sub-accounts; and (g) your violation of applicable law or of the rights of any third party.

19. Changes to These Terms

We may update these Terms from time to time, for example to reflect changes in the platform, in Meta's requirements, or in applicable law. The updated version will be published at https://advancelink.net with a revised "Last updated" date. Where changes are material, we will make reasonable efforts to notify you, for example by email or by a notice inside the platform. Continued use of the platform after the updated Terms take effect constitutes acceptance. If you do not accept the changes, you must stop using the platform and may request deletion under Section 16.

20. Governing Law and Venue

These Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes, are governed by the laws of the State of Kuwait. The competent courts of the State of Kuwait shall have exclusive jurisdiction, and both parties submit to that jurisdiction.

If any provision of these Terms is found invalid or unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall remain in full force. Our failure to enforce any provision is not a waiver of it.
